"User" or "you" refers to any individual or entity accessing our website or engaging our services. "We," "us," and "our" refer to Sage Keystone. "Agreement" refers to these Terms and Conditions together with any engagement letter or service agreement signed between you and Sage Keystone. "Content" refers to all text, images, materials, and information published on our website.
2. Acceptance of Terms
By accessing our website or engaging our legal services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or engage our services. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of Thailand. If you are engaging our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
3. Description of Services
Sage Keystone provides legal services to individuals and businesses operating in or connected to Thailand. Our current service offerings include contract drafting and review, dispute resolution and mediation, and legal compliance audits. The specific scope, deliverables, and timeline for each engagement are defined through a separate engagement letter or service agreement. We reserve the right to modify, expand, or discontinue services at our discretion. Geographic availability of our services is primarily focused on Thailand, though we may assist with cross-border matters on a case-by-case basis.
4. Engagement Process
Submitting an inquiry through our website does not create a lawyer-client relationship. A formal engagement begins only when both parties have agreed to the scope and terms of the service, typically through a signed engagement letter. Until an engagement is formally established, any information you share with us through our website or initial consultations should not be considered privileged or confidential in the legal sense, though we will treat it with reasonable care.
5. User Responsibilities
When using our website, you agree to do so lawfully and in a manner that does not infringe upon or restrict the rights of others. You agree not to use our website for any purpose that is fraudulent, harmful, or in violation of applicable Thai law. You are responsible for providing accurate and complete information when submitting inquiries or engaging our services. During an active engagement, timely responses to our requests for information or documentation help us serve you more effectively. You are also responsible for maintaining the confidentiality of any account credentials or reference numbers provided to you.
6. Intellectual Property
All content on the Sage Keystone website, including text, graphics, logos, icons, and design elements, is the property of Sage Keystone or its licensors and is protected by Thai and international copyright and intellectual property laws. You are granted a limited, non-transferable right to access and view the website content for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from our content without prior written permission. Legal documents prepared specifically for you under an engagement are your property upon full payment, though we retain the right to use anonymized elements for internal training or template development.
7. Payment Terms
Fees for our services are quoted in Thai Baht (฿) and are set out in the engagement letter for each matter. Our current standard fees are: Contract Drafting and Review at ฿25,000, Dispute Resolution and Mediation at ฿40,000, and Legal Compliance Audit at ฿48,000. These fees apply to standard engagements; complex matters may require adjusted pricing, which will be discussed and agreed upon before work begins. Payment terms are specified in your engagement letter. We accept bank transfer and other methods as communicated during onboarding. Late payments may incur a reasonable administrative charge as outlined in your engagement agreement.
8. Refund Policy
If an engagement has not yet commenced and no substantive work has been performed, a full refund of any advance payment may be available upon written request. Once work has begun, refunds are assessed on a case-by-case basis, taking into account the extent of work completed. We will provide a fair accounting of time and effort invested in the event of early termination. Refund requests should be directed to [email protected].
9. Confidentiality
We take confidentiality seriously. Information shared with us during a formal engagement is treated as confidential and is subject to the professional obligations of legal practitioners in Thailand. We will not disclose your confidential information to third parties without your consent, except where required by law or court order. Our obligations of confidentiality survive the termination of the engagement.
10. Disclaimers
Our website content is provided for general informational purposes only and does not constitute legal advice. While we make reasonable efforts to keep the information on our website accurate and current, we do not warrant that it is complete, reliable, or suitable for any particular purpose. Legal outcomes depend on the specific facts and circumstances of each case, and past results do not predict future performance. Engaging our services does not assure any particular outcome. 11. Limitation of Liability
To the fullest extent permitted by Thai law, Sage Keystone's total liability for any claim arising from or related to our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages. This limitation does not apply where liability cannot be excluded or limited under applicable Thai law. Events beyond our reasonable control, including natural disasters, governmental actions, or failures of third-party systems, shall not give rise to liability on our part.
12. Indemnification
You agree to indemnify and hold harmless Sage Keystone, its partners, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any inaccurate or misleading information you provide to us during the course of an engagement.
13. Termination
Either party may terminate an engagement by providing written notice in accordance with the terms of the applicable engagement letter. We reserve the right to terminate or decline an engagement where a conflict of interest arises, where continued representation would be contrary to professional ethics, or where the client fails to meet payment obligations. Upon termination, we will return any client documents in our possession and provide a final accounting of fees and expenses. Sections of these Terms relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
14. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation administered by the Thailand Arbitration Center (THAC). If mediation does not result in a resolution, the dispute may be submitted to the competent courts of Thailand. The language of any proceedings shall be English or Thai, as agreed by the parties.
15. General Provisions
These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Sage Keystone regarding the subject matter herein. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. We may not assign our obligations under these Terms without your consent, except in connection with a merger or acquisition. 16. Changes to These Terms
We may revise these Terms and Conditions from time to time. Changes will be posted on this page with an updated "Last Updated" date. Where changes are material, we will make reasonable efforts to notify active clients directly.
